TERMS OF WEBSITE USE

These Terms of Use govern your use of the website located at www.lancashiregroup.com (the "Site"). The Site is owned by Lancashire Holdings Limited, a company registered in Bermuda, whose address is Power House, 7 Par-la-Ville Road, Hamilton, HM 11, Bermuda (referred to in these Terms of Use as "Lancashire", "we" or "us"). A reference to 'Lancashire', 'we' or 'us' includes all of Lancashire's affiliates and such other entities as may, from time to time, be a parent or subsidary company of, or be in common ownership with, Lancashire Holdings Limited.

The content of the Site is provided by Lancashire and by its third party service providers. The Site is made available to you for information purposes only. Please read these Terms of Use carefully before you start to use the Site. By using the Site, you indicate that you accept these Terms of Use and that you agree to abide by them; if you do not accept these Terms of Use, please refrain from using the Site. If you have, in Lancashire's sole opinion, breached any of the provisions of these Terms of Use, we reserve the right to terminate your entitlement to use the Site for any and all purposes. 

ACCESSING THE SITE

Access to the Site is permitted on a temporary basis, and we reserve the right to withdraw or amend any services we provide on the Site without notice. Subject to the section below entitled "Limitation of Liability", we will not be liable in any way if, for any reason, the Site is unavailable at any time or for any period. From time to time, we may restrict your access to some parts of the Site, or the entire Site, at our sole discretion.

You are responsible for making all arrangements necessary for you to have access to the Site. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of these terms, and that they comply with them. 

INTELLECTUAL PROPERTY RIGHTS

All images, text, programmes, and other materials and content provided on the Site (together, the "Materials") are protected by law, including copyright law, intellectual property rights law and international treaties. We are the owner or the licensee of all intellectual property rights in the Materials on the Site. All rights in the Materials are reserved. Except as expressly set out in these Terms of Use, you are granted no rights in the Site or in any of the Material.

You may, for your personal, non-commercial use only, download and print one copy of any page(s) from the Site for your personal reference and you may draw the attention of others within your organisation to Materials posted on the Site. This permission is granted subject to the proviso that you: (i) make no amendments, changes or additions to any of the Materials; (ii) keep all copyright notices and other proprietary notices intact and together with the Materials to which they relate, and provide proper attribution to us and the Site; (iii) do not use the Materials in a manner that suggests any association with any other persons, products, brands or services other than Lancashire; and (iv) do not download the Materials for storage and access in a database for use apart from the Site.

Except as stated herein, none of the Materials may be copied, reproduced, republished, downloaded, displayed, modified, transmitted, licensed, transferred, sold or distributed by any means or otherwise exploited in any manner, including but not limited to electronic, mechanical, photocopying, recording or otherwise, without the express prior written permission of Lancashire.

The names, logos, taglines and other marks identifying any Lancashire group companies and their products and services are proprietary marks of Lancashire. Any other trade marks and service marks are the property of their respective owners. This Terms of Use does not grant you the right to use any trade mark, service mark or logo appearing on the Site for any purpose whatsoever. 

RELIANCE ON INFORMATION POSTED

Information, opinions and Materials provided on the Site should not be treated as, and are not intended to be, any advice or recommendation on which reliance should be placed. The information on the Site is not intended to be, and does not constitute, a communication, invitation or inducement to engage in investment activity or to otherwise deal in the shares of Lancashire (or any other company). Anyone contemplating any investment activity should not rely on any of the information made available on the Site.

Subject to the section below entitled "Limitation of Liability", we disclaim all liability and responsibility arising from any reliance you may place on the Materials.  Lancashire does not offer any insurance or reinsurance products or services through the Site and no part of the Site should be considered to be an offer to engage in such products or services through the Site.

The information, opinions and Materials provided on the Site may include forward-looking statements, which are subject to inherent uncertainties and risks that could cause any actual results to differ materially from those contained in such forward-looking statements. Lancashire bears no responsibility for the accuracy of such statements, and undertakes no duty to update, amend or rectify publicly any forward-looking statements contained herein, in light of new information or future developments.

INDEMNITY

You agree to indemnify, defend and hold harmless Lancashire, its subsidiaries, officers, employees, agents, service providers and contractors (collectively, the "Lancashire Indemnitees") from and against any and all claims, losses, expenses, demands or liabilities (including any attorneys' fees and costs), incurred by the Lancashire Indemnitees arising out of (i) any claim by a third party relating to the posting, distribution, modification or alteration by you of any Materials, or (ii) your use of the Site in violation of these Terms of Use or in violation of any applicable law.

You agree to cooperate with all reasonable requests from Lancashire in connection with the defence of any such claims. The Lancashire Indemnitees reserve the right, at their sole discretion and cost, to assume the exclusive defence and control of any proceedings that would otherwise be subject to indemnification by you, and you shall not in any event settle any such claim or matter without the express prior written consent of Lancashire.

LIMITATION OF LIABILITY

Although care is taken to ensure that the information on the Site is accurate and up to date, we cannot accept any responsibility for mistakes or omissions. The Site is provided on an "as is" basis. You agree that any use you make of the Site or any Materials will be on the same "as is" basis, without any guarantees as to completeness, accuracy or timeliness and without warranties.

Lancashire does not warrant that the Site, or any other websites that may be linked to through the Site, will be accurate, compatible with any particular standards or equipment, free of defects, errors or potentially harmful components, or fit for any particular purpose.

To the maximum extent permitted by law, Lancashire hereby expressly excludes:

  1. All conditions, guarantees or warranties of any kind, express or implied.

  2. Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with the Site or in connection with the use, inability to use, or results of the use of the Site, any websites linked to it and any materials posted on it, including, without limitation any liability for:

    1. loss of income or revenue;

    2. loss of business;

    3. loss of profits or contracts;

    4. loss of anticipated savings;

    5. loss of data;

    6. loss of goodwill;

    7. wasted management or office time; and/or

The provisions of these Terms of Use do not affect Lancashire's liability for any liability which cannot be excluded or limited under applicable law.

VIRUSES, HACKING AND OTHER OFFENCES

You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you may commit a criminal offence under the Computer Misuse Act 1990 and other applicable laws and regulations including the Police and Justice Act 2006. We reserve the right to report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

Subject to the section above entitled "Limitation of Liability", we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site or to your downloading of any material posted on it, or on any website linked to it.

LINKING TO THE SITE

You may link to the Site's home page, provided you do so in a fair and legal manner which does not damage, diminish or take any unfair advantage of Lancashire's reputation. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part without Lancashire's express prior written consent.

You must not establish a link from any website that is not owned by you. The Site must not be 'framed' on or within any other website, nor may you create a link to any part of the Site other than the home page. We reserve the right to withdraw linking permission without notice.

LINKS FROM THE SITE

Where the Site contains links to other websites and resources provided by third parties, these links are provided for your information only.  Lancashire has no control over the contents of those websites or resources, and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

The inclusion on the Site of links to third party websites or content is not an indication that Lancashire endorses or approves of those sites or content. Subject to the section above entitled "Limitation of Liability", we accept no liability of any kind for any information, products or services provided in or through any third party websites or content. 

JURISDICTION AND APPLICABLE LAW

The courts of England and Wales will have exclusive jurisdiction over any claim arising from, or related to, your use of the Site and/or any Materials, although we retain the right to bring proceedings against you for breach of these Terms of Use in your country of residence or any other relevant country, at our sole discretion. 

These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

"Lancashire" is a registered Community Trade Mark of Lancashire Holdings Limited.

VARIATIONS

Lancashire aims to update the Site regularly, and may alter, replace, remove or add to the Materials at any time, without any prior notice. If the need arises, we may suspend access to the Site, or close it indefinitely. Any of the Material on the Site may be out of date at any given time, and we are under no obligation to update such Material.

Lancashire also reserves the right to revise, change, replace, remove or add to these Terms of Use at any time and for any reason, by amending this page. The provisions contained in these Terms of Use may also be superseded by provisions or notices published elsewhere on the Site. You agree that all such revisions, changes, amendments, replacements, removals and additions shall be binding upon you, in relation to your use of the Site, from the date on which they are made. You agree to review these Terms of Use before each separate occasion on which you make use of the Site, in order to familiarise yourself with any revisions that may have been made to these Terms of Use.

GENERAL

These Terms of Use contain the entire understanding and agreement between Lancashire and you, in relation to your use of the Site and supersede and replace any previous agreement, statement or other communication (whether written or otherwise) made by you or Lancashire which is not contained herein.

Should any part of these Terms of Use for any reason be declared invalid or unenforceable by a court of a competent jurisdiction, it shall be deemed to be deleted without affecting the remaining provisions.
